THE CENTER WAS INCORPORATED ON APRIL 16, 1970 AS A CALIFORNIA NONPROFIT CORPORATION. THE CENTER WAS ORGANIZED IN ACCORDANCE WITH THE PROVISIONS OF THE LANTERMAN DEVELOPMENTAL DISABILITIES SERVICES ACT (THE "ACT") OF THE WELFARE AND INSTITUTIONS CODE OF THE STATE OF CALIFORNIA. IN ACCORDANCE WITH THE ACT, THE CENTER PROVIDES DIAGNOSTIC EVALUATIONS, CLIENT PROGRAM MANAGEMENT AND LIFELONG PLANNING SERVICES FOR PERSONS WITH DEVELOPMENTAL DISABILITIES AND THEIR FAMILIES. THE CENTER IS ONE OF 21 REGIONAL CENTERS WITHIN THE STATE OF CALIFORNIA SYSTEM AND SERVES THE COUNTIES OF NAPA, SOLANO, AND SONOMA. THE CENTER OPERATES UNDER AN ANNUAL COST-REIMBURSEMENT CONTRACT WITH THE STATE OF CALIFORNIA DEPARTMENT OF DEVELOPMENTAL SERVICES (THE "DDS") PURSUANT TO THE PROVISIONS OF THE ACT. MAXIMUM EXPENDITURES UNDER THE CONTRACT ARE LIMITED TO THE CONTRACT AMOUNT PLUS INTEREST EARNED. THE CENTER IS REQUIRED TO HAVE THE DDS APPROVAL FOR CERTAIN EXPENSES. THE CENTER IS REQUIRED TO MAINTAIN ACCOUNTING RECORDS IN ACCORDANCE WITH THE REGIONAL CENTER FISCAL MANUAL ISSUED BY THE DDS. IN THE EVENT OF TERMINATION OR NONRENEWAL OF THE CONTACT, THE STATE OF CALIFORNIA MAINTAINS THE RIGHT TO ASSUME CONTROL OF THE CENTER'S OPERATION AND THE OBLIGATION OF ITS LIABILITIES.
